BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU REPRESENT THAT YOU PURCHASED THE SOFTWARE FROM AN APPROVED SOURCE AND YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
If you are accepting these terms on behalf of another person, company, or other legal entity, you represent and warrant that you have full authority to bind that person, company, or legal entity to these terms.
IF YOU DO NOT AGREE TO THESE TERMS:
- DO NOT DOWNLOAD, INSTALL, COPY, ACCESS, OR USE THE SOFTWARE
- PROMPTLY DELETE OR RETURN THE SOFTWARE FOR A FULL REFUND
1. Definitions
Affiliate
An entity controlled by, under common control with, or controlling a party, where control is denoted as having fifty percent (50%) or more of the voting power.
Licensed Materials
The Software together with all Documentation, enhancements, Updates, upgrades, customizations and modifications thereto, provided by Licensor.
Software
SumX - Adaptable Project-Based Time Management System. Efficient, user-friendly, and backed by years of industry wisdom.
Support Services
The service for the correction of errors and/or support of the Software and the issuance of any Updates.
2. License and Restrictions
License Grant
Subject to the provisions of this Agreement, we grant you a non-exclusive, non-transferable, non-assignable, restricted license to use the Licensed Materials solely for your own internal business purposes.
Restrictions
You shall not, without our prior written consent:
- Reverse engineer, decompile, disassemble or otherwise attempt to determine the source code
- Sell, sublicense, assign, transfer, rent, lease, or distribute the Licensed Materials
- Copy, reproduce, modify or create derivative works of the Licensed Materials
- Remove or alter any proprietary notices or labels
3. Fees and Payment
License fees are determined based on active employees, projects, and resources. The software is deployed on Azure infrastructure.
Payment Terms
- Fees are subject to increases as specified by the Licensor
- You are responsible for all applicable taxes
- Payment records may be audited annually
4. Data Security and Privacy
We are committed to protecting your data and maintaining the highest security standards.
Data Retention
We do not store or retain data provided through the Software, except for temporary cache memory storage (typically not more than 24 hours) for operational purposes.

6. Warranties and Disclaimers
Limited Warranty
We warrant that for 30 days from delivery, the Software will be free from material defects and will substantially conform to specifications.
Disclaimer
EXCEPT AS EXPRESSLY SET FORTH ABOVE, NO WARRANTY, EXPRESS OR IMPLIED, IS MADE WITH RESPECT TO THE LICENSED MATERIALS, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7. Limitation of Liability
OUR LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU IN THE PREVIOUS THREE (3) MONTHS. IN NO EVENT SHALL WE BE LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL OR INCIDENTAL DAMAGES.
8. Termination
Either party may terminate this Agreement with thirty (30) days' prior written notice. Upon termination, you must cease using the Software and return or destroy all copies.
Survival
Certain provisions including proprietary rights, confidentiality, and limitation of liability will survive termination.
9. General Provisions
Governing Law
This Agreement is governed by U.S. federal law and the laws of the State of Virginia.
Export Restrictions
You must comply with all applicable export control regulations.
Modifications
We may revise these terms at any time by posting the revised agreement on our website.
